Algemene Voorwaarden

Artikel 1 - Algemeen

1.1          In deze algemene voorwaarden wordt verstaan onder:

a)            Opdrachtgever: de partij die opdracht geeft;

b)             Opdrachtnemer:   Vettax, gevestigd te Den Haag, Beemsterhof 7 zijnde een eenmanszaak;

c)             Opdracht c.q. Overeenkomst: de overeenkomst van opdracht, waarbij Opdrachtnemer zich jegens Opdrachtgever verbindt om bepaalde werkzaamheden te verrichten;

Alle Opdrachten worden uitsluitend aanvaard en uitgevoerd door Opdrachtnemer, met terzijdestelling van de artikelen 7:404 en 7:407 lid 2 BW, ongeacht of Opdrachtgever de Opdracht uitdrukkelijk of stilzwijgend heeft verleend met het oog op uitvoering hiervan door een bepaalde persoon of bepaalde personen.

Alle bedingen in deze algemene voorwaarden zijn mede gemaakt ten behoeve van al degenen die voor Opdrachtnemer werkzaam zijn in het kader van de uitvoering van de Opdracht.

 

Artikel 2 - Toepasselijkheid

2.1          Deze algemene voorwaarden zijn van toepassing op alle Opdrachten c.q. Overeenkomsten tussen Opdrachtgever en Opdrachtnemer, respectievelijk hun rechtsopvolgers, alsmede op alle daaruit voortvloeiende en/of samenhangende overeenkomsten, alsmede op alle door Opdrachtnemer gedane aanbiedingen en/of offertes.

2.2          De toepasselijkheid van Algemene Voorwaarden van Opdrachtgever wordt door Opdrachtnemer uitdrukkelijk van de hand gewezen.

2.3          Van deze voorwaarden afwijkende bedingen zijn slechts van kracht indien en voorzover Opdrachtnemer deze uitdrukkelijk en schriftelijk aan Opdrachtgever heeft bevestigd.

Indien enig beding, deel uitmakend van deze algemene voorwaarden of van de overeenkomst, nietig zou zijn of vernietigd wordt, blijft de overeenkomst voor het overige zoveel mogelijk in stand en zal het betreffende beding in overleg tussen partijen onverwijld worden vervangen door een beding dat de strekking van het oorspronkelijke beding zoveel mogelijk benadert.

 

Artikel 3 – Totstandkoming van de Overeenkomst

3.1          De Overeenkomst komt tot stand op het moment dat de Opdracht mondeling, schriftelijk of per e-mail wordt verstrekt door de Opdrachtgever.

3.2          Indien gewenst zal een schriftelijke opdrachtbevestiging worden verstrekt. De Overeenkomst komt dan tot stand op het moment dat de door Opdrachtnemer en Opdrachtgever ondertekende opdrachtbevestiging door Opdrachtnemer retour is ontvangen. De opdrachtbevestiging is gebaseerd op de ten tijde daarvan door Opdrachtgever aan Opdrachtnemer verstrekte informatie.

3.3          Indien de Opdracht niet op grond van het voorgaande lid wordt verstrekt, dan wel indien de opdrachtbevestiging (nog) niet getekend retour is ontvangen, wordt de Opdracht geacht te zijn tot stand gekomen onder toepasselijkheid van deze algemene voorwaarden op het moment dat Opdrachtnemer op verzoek van Opdrachtgever met de uitvoering van de Opdracht is gestart.

 

Artikel 4 -  Gegevens en informatie

4.1          Opdrachtgever is gehouden alle door Opdrachtnemer verlangde gegevens en informatie, alsmede de gegevens en informatie waarvan opdrachtgever redelijkerwijs kan weten dat Opdrachtnemer die nodig heeft voor de correcte uitvoering van de Opdracht, a) tijdig en b) in de door Opdrachtnemer gewenste vorm en c) op de door Opdrachtnemer gewenste wijze te verstrekken.

4.2          Opdrachtgever staat in voor de juistheid, volledigheid, betrouwbaarheid en rechtmatigheid van de door of namens hem aan Opdrachtnemer verstrekte gegevens en informatie, ook indien deze via derden worden verstrekt of van derden afkomstig zijn, tenzij uit de aard van de Opdracht anders voortvloeit.

4.3          Opdrachtgever is gehouden Opdrachtnemer onverwijld te informeren omtrent feiten en omstandigheden die in verband met de uitvoering van de Opdracht van belang kunnen zijn.

4.4          Opdrachtnemer heeft het recht om de uitvoering van de Opdracht op te schorten tot het moment dat Opdrachtgever aan de in het eerste, tweede en derde lid genoemde verplichtingen heeft voldaan.

4.5          Extra kosten, extra uren, alsmede de overige schade voor Opdrachtnemer, ontstaan doordat Opdrachtgever niet aan de in het eerste, tweede of derde lid genoemde verplichtingen heeft voldaan, komen voor rekening en risico van Opdrachtgever.

4.6          Op eerste verzoek van Opdrachtgever zal opdrachtnemer de originele, door Opdrachtgever verstrekte, bescheiden aan Opdrachtgever retourneren.

 

Artikel 5 - Uitvoering van de Opdracht

5.1          Opdrachtnemer bepaalt de wijze waarop en door welke perso(o)n(en) de Opdracht wordt uitgevoerd, doch neemt daarbij de door Opdrachtgever kenbaar gemaakte wensen zoveel mogelijk in acht. Indien Opdrachtnemer bij de uitvoering van de Opdracht voor rekening van Opdrachtgever derden wenst in te schakelen, zal hij daartoe slechts overgaan met goedkeuring van Opdrachtgever.

5.2          Opdrachtnemer zal de werkzaamheden naar beste vermogen en als een zorgvuldig handelend beroepsbeoefenaar uitvoeren; Opdrachtnemer kan evenwel niet instaan voor het bereiken van enig beoogd resultaat.

5.3          De Opdracht wordt uitgevoerd met inachtneming van de toepasselijke (beroeps)regelgeving en hetgeen bij of krachtens de wet wordt geëist. Opdrachtgever verleent telkens en volledig medewerking aan de verplichtingen die hieruit voor Opdrachtnemer voortvloeien.

5.4          Opdrachtgever is ermee bekend dat Opdrachtnemer op grond van de Wet ter voorkoming van witwassen en financieren van terrorisme (Wwft):

  • verplicht kan zijn om een onderzoek naar de identiteit van Opdrachtgever en/of cliënt te doen;
  • verplicht kan zijn om bepaalde transacties te melden aan de daarvoor van overheidswege ingestelde autoriteiten.

5.5          Onder (beroeps)regelgeving wordt in ieder geval verstaan het Reglement Beroepsuitoefening van de Nederlandse Orde van Belastingadviseurs (NOB).

5.6          Opdrachtnemer sluit iedere aansprakelijkheid uit voor schade die ontstaat ten gevolge van het voldoen door Opdrachtnemer aan de voor hem geldende wet- en (beroeps)regelgeving.

5.7          Opdrachtnemer houdt terzake van de Opdracht een werkdossier aan met daarin kopieën van relevante stukken, dat eigendom is van Opdrachtnemer.

5.8          Tijdens de uitvoering van de Opdracht zullen Opdrachtgever en Opdrachtnemer op verzoek van één van hen door middel van elektronische mail met elkaar kunnen communiceren. Opdrachtgever en Opdrachtnemer zijn jegens elkaar niet aansprakelijk voor schade die voortvloeit uit het gebruik van elektronische mail. Zowel Opdrachtgever als Opdrachtnemer zullen al hetgeen doen dat redelijkerwijs verwacht mag worden ter voorkoming van risico’s zoals het verspreiden van virussen en vervorming.

In geval van twijfel omtrent de inhoud en/of verzending van elektronische post zijn de data-uittreksels uit de computersystemen van Opdrachtnemer bepalend.

 

Artikel 6 –Termijnen

6.1          Termijnen waarbinnen werkzaamheden dienen te zijn voltooid zijn slechts fatale termijnen indien zulks schriftelijk is overeengekomen.

6.2          Indien Opdrachtgever een vooruitbetaling verschuldigd is of hij voor de uitvoering van de Opdracht benodigde gegevens en informatie ter beschikking dient te stellen, dan gaat de termijn waarbinnen de werkzaamheden dienen te worden afgerond niet eerder in dan dat de betaling geheel door Opdrachtnemer is ontvangen, respectievelijk de gegevens en informatie geheel aan Opdrachtnemer ter beschikking zijn gesteld.

6.3          De overeenkomst kan - tenzij vaststaat dat uitvoering blijvend onmogelijk is - door Opdrachtgever niet wegens termijnoverschrijding worden ontbonden, dan nadat Opdrachtgever, na ommekomst van de overeengekomen termijn, opdrachtnemer een redelijk termijn heeft aangezegd om de opdracht alsnog (geheel) uit te voeren en opdrachtnemer ook dan de opdracht niet of niet geheel uitvoert binnen de aangezegde termijn.

 

Artikel 7 – Opzegging

7.1          De Overeenkomst wordt aangegaan voor onbepaalde tijd, tenzij uit de inhoud, aard of strekking van de verleende Opdracht voortvloeit dat deze voor een bepaalde tijd is aangegaan.

7.2          Opdrachtgever en Opdrachtnemer kunnen de Overeenkomst te allen tijde (tussentijds) opzeggen met inachtneming van een redelijke opzegtermijn, tenzij de redelijkheid en billijkheid zich tegen beëindiging of beëindiging op een dergelijke termijn verzetten. De opzegging dient schriftelijk te worden meegedeeld aan de andere partij.

7.3          De Overeenkomst mag per aangetekende brief door zowel Opdrachtnemer als door Opdrachtgever (tussentijds) worden opgezegd zonder inachtneming van een opzegtermijn in het geval de andere partij niet in staat is om zijn schulden te voldoen of indien een curator, bewindvoerder of vereffenaar is benoemd, de andere partij een schuldsanering treft, of om enige andere reden zijn activiteiten staakt of indien de andere partij het ontstaan van een van de bovengenoemde omstandigheden bij de ene partij redelijkerwijs aannemelijk acht of indien er een situatie is ontstaan die onmiddellijke beëindiging rechtvaardigt in het belang van de opzeggende partij.

7.4          Opdrachtnemer behoudt in alle gevallen van (tussentijdse) opzegging aanspraak op betaling van de declaraties voor door haar tot dan toe verrichte werkzaamheden, waarbij aan de Opdrachtgever onder voorbehoud de voorlopige resultaten van de tot dan toe verrichte werkzaamheden ter beschikking zullen worden gesteld.

7.5          Indien tot (tussentijdse) opzegging is overgegaan door Opdrachtgever, heeft Opdrachtnemer recht op vergoeding van het aan zijn zijde ontstane en aannemelijk te maken bezettingsverlies, alsmede van additionele kosten die Opdrachtnemer redelijkerwijs heeft moeten maken of moet maken ten gevolge van de vroegtijdige beëindiging van de Overeenkomst (zoals onder meer kosten met betrekking tot eventuele onderaanneming), tenzij er feiten en omstandigheden aan de opzegging ten grondslag liggen die aan Opdrachtnemer zijn toe te rekenen.

7.6          Indien tot (tussentijdse) opzegging is overgegaan door Opdrachtnemer, heeft Opdrachtgever recht op medewerking van Opdrachtnemer bij overdracht van werkzaamheden aan derden, tenzij er feiten en omstandigheden aan die opzegging ten grondslag liggen die aan Opdrachtgever zijn toe te rekenen.

7.7          Voor zover de overdracht van de werkzaamheden voor Opdrachtnemer extra kosten met zich meebrengt, worden deze aan Opdrachtgever in rekening gebracht.

7.8          Bij beëindiging van de Overeenkomst dient ieder der partijen alle in haar bezit zijnde goederen, zaken en documenten die in eigendom toebehoren aan de andere partij onverwijld aan die andere partij ter hand te stellen.

 

Artikel 8 - Intellectuele vermogensrechten

8.1          Alle rechten met betrekking tot producten van de geest die Opdrachtnemer bij de uitvoering van de opdracht ontwikkelt of gebruikt, daaronder mede begrepen adviezen, werkwijzen, (model)contracten, systemen, systeem-ontwerpen en computerprogramma’s, komen toe aan Opdrachtnemer, voorzover deze niet reeds aan derden toekomen.

8.2          Behoudens de uitdrukkelijke voorafgaande schriftelijke toestemming van Opdrachtnemer is het Opdrachtgever niet toegestaan de producten van de geest of de vastlegging daarvan op gegevensdragers al dan niet tezamen met of door inschakeling van derden te verveelvoudigen, te openbaren of te exploiteren, onverminderd het bepaalde in Artikel 9.3.

 

Artikel 9 - Geheimhouding

9.1          Opdrachtnemer is verplicht de door of namens Opdrachtgever verschafte gegevens en informatie geheim te houden tegenover derden die niet bij de uitvoering van de opdracht zijn betrokken. Deze verplichting geldt niet voorzover op Opdrachtnemer een wettelijke of beroepsplicht rust tot openbaarmaking, waaronder begrepen de verplichtingen voortvloeiend uit de Wet ter voorkoming van witwassen en financieren van terrorisme (wwft) en andere nationale of internationale regelgeving met vergelijkbare strekking, of voor zover Opdrachtgever Opdrachtnemer van de geheimhoudingsplicht heeft ontheven.

9.2          Het eerste lid verhindert niet vertrouwelijk collegiaal overleg binnen de organisatie van Opdrachtnemer, voor zover Opdrachtnemer zulks voor een zorgvuldige uitvoering van de opdracht of ter zorgvuldige voldoening aan een wettelijke of beroepsplicht noodzakelijk acht.

9.3          Opdrachtnemer is, indien hij voor zichzelf optreedt in een tucht-, civiele-, arbitrale-, bestuursrechtelijke- of strafprocedure, gerechtigd de gegevens en informatie waarvan hij bij de uitvoering van de opdracht kennis heeft genomen aan te wenden voorzover deze naar zijn redelijk oordeel van belang kunnen zijn.

9.4          Behoudens de uitdrukkelijke voorafgaande schriftelijke toestemming van Opdrachtnemer is het Opdrachtgever niet toegestaan de inhoud van adviezen, opinies of andere al dan niet schriftelijke uitingen van Opdrachtnemer openbaar te maken of anderszins aan derden ter beschikking te stellen, behoudens voorzover dit rechtstreeks uit de overeenkomst voortvloeit, geschiedt ter inwinning van een deskundig oordeel omtrent de desbetreffende werkzaamheden van Opdrachtnemer, op Opdrachtgever een wettelijke of beroepsplicht tot openbaarmaking rust, of indien Opdrachtgever voor zichzelf optreedt in een tucht-, civiele-, arbitrale-, bestuursrechtelijke- of strafprocedure.

9.5          Opdrachtnemer is gerechtigd tot het vermelden van de naam van Opdrachtgever en het in hoofdlijnen vermelden van de verrichte werkzaamheden aan (commerciële) relaties van Opdrachtnemer ter indicatie van de ervaring van Opdrachtgever.

 

 

Artikel 10 - Persoonsgegevens en de Algemene Verordening Gegevensbescherming

10.1        Opdrachtgever zal bij het verstrekken en ter beschikking stellen van persoonsgegevens aan de Opdrachtnemer de Algemene Verordening Gegevensbescherming en andere toepasselijke wet- en regelgeving op het gebied van de bescherming van persoonsgegevens in acht nemen.

10.2        Opdrachtnemer zal bij de uitvoering van de opdracht de Algemene Verordening Gegevensbescherming en andere toepasselijke wet- en regelgeving op het gebied van de bescherming van persoonsgegevens in acht nemen en verkregen persoonsgegevens uitsluitend verwerken voor zover niet onverenigbaar met het doel waarvoor de persoonsgegevens worden verkregen.

10.3        Zo nodig sluiten Opdrachtgever en Opdrachtnemer een verwerkersovereenkomst.

10.4        Opdrachtnemer zal passende technische en organisatorische maatregelen nemen om de persoonsgegevens  te beveiligen tegen vernietiging, verlies en onbevoegde toegang.

10.5        Opdrachtgever stemt er mee in dat Opdrachtnemer ten behoeve van de dienstverlening en de optimalisering daarvan werkt met derden zoals ICT-dienstverleners en leveranciers van administratietools en in dat kader persoonsgegevens deelt met deze derden. Overeenkomstig de bepalingen uit de Algemene Verordening Gegevensbescherming sluit Opdrachtnemer een verwerkersovereenkomst met de door haar ingeschakelde (sub)verwerkers.

 

Artikel 11 - Honorarium

11.3        Opdrachtgever is aan Opdrachtnemer een honorarium alsmede vergoeding van gemaakte kosten verschuldigd overeenkomstig de bij Opdrachtnemer gebruikelijke tarieven, berekenings-methodieken en werkwijzen.

11.2        Opdrachtnemer heeft het recht een voorschot te vragen aan Opdrachtgever.

11.3        Indien na de totstandkoming van de Overeenkomst, maar voordat de Opdracht geheel is uitgevoerd, tariefbepalende factoren zoals bijvoorbeeld lonen en/of prijzen een wijziging ondergaan, is Opdrachtnemer gerechtigd het eerder overeengekomen tarief dienovereenkomstig aan te passen.

11.4        Alle tarieven zijn exclusief omzetbelasting en andere heffingen welke van overheidswege worden opgelegd.

 

Artikel 12 – Betaling

12.1        Betaling dient zonder enige aftrek, korting of verrekening in Nederlandse valuta te geschieden door storting of overmaking op de op de factuur aangegeven bankrekening binnen veertien dagen na factuurdatum. De dag van betaling is de dag van bijschrijving van het verschuldigde op de rekening van Opdrachtnemer. Bezwaren tegen de hoogte van de factuur schorten de betalingsverplichting van de Opdrachtgever niet op.

12.2        Indien Opdrachtgever niet binnen de in het eerste lid genoemde termijn, dan wel een andere tussen partijen overeengekomen termijn heeft betaald, is Opdrachtgever van rechtswege in verzuim en is Opdrachtnemer gerechtigd vanaf dat moment de wettelijke rente in rekening te brengen.

12.3        Indien Opdrachtgever, handelend in de uitoefening van een bedrijf of beroep, niet binnen de in het eerste lid genoemde termijn heeft betaald, is Opdrachtgever gehouden tot vergoeding van alle door Opdrachtnemer gemaakte buitengerechtelijke en gerechtelijke (incasso)kosten, ook voorzover deze kosten de eventuele rechterlijke proceskostenveroordeling overtreffen, tenzij Opdrachtnemer als verliezende partij in de kosten wordt veroordeeld.

12.4        Indien Opdrachtgever niet handelt in de uitoefening van een bedrijf of beroep, is Opdrachtgever gehouden tot een vergoeding van buitengerechtelijke incassokosten ter hoogte van het maximale bedrag conform het Besluit vergoeding van buitengerechtelijke incassokosten. Opdrachtgever is deze buitengerechtelijke incassokosten verschuldigd nadat hij, al in verzuim zijnde, vruchteloos is aangemaand tot betaling binnen veertien dagen.

12.5        In geval van een gezamenlijk gegeven Opdracht zijn Opdrachtgevers, voor zover de opdracht ten behoeve van de gezamenlijke Opdrachtgevers is uitgevoerd, hoofdelijk aansprakelijk voor de betaling van het factuurbedrag en de verschuldigde rente en kosten.

12.6        Opdrachtnemer behoudt zich het recht voor om - ook tijdens de uitvoering van een opdracht, indien de financiële positie of het betalingsgedrag van Opdrachtgever daartoe naar het oordeel van Opdrachtnemer aanleiding geeft - van Opdrachtgever gehele of gedeeltelijke vooruitbetaling en/of het stellen van zekerheid te verlangen, bij gebreke waarvan Opdrachtnemer gerechtigd is de nakoming van zijn verplichtingen op te schorten.

 

 

Artikel 13 - Reclames

13.1        Een reclame met betrekking tot verrichte werkzaamheden of het factuurbedrag dient op straffe van verval van alle aanspraken binnen 30 dagen na de verzenddatum van de stukken of informatie waarover Opdrachtgever reclameert, dan wel, indien Opdrachtgever aantoont dat hij het gebrek redelijkerwijs niet eerder kon ontdekken, binnen 30 dagen na de ontdekking van het gebrek, schriftelijk aan Opdrachtnemer te worden kenbaar gemaakt.

13.2        Een reclame schort de betalingsverplichting van Opdrachtgever niet op, behoudens voorzover Opdrachtnemer aan Opdrachtgever te kennen heeft gegeven dat hij de reclame gegrond acht.

13.3        In geval van een terecht uitgebrachte reclame heeft Opdrachtnemer de keuze tussen aanpassing van het in rekening gebrachte honorarium, het kosteloos verbeteren of opnieuw verrichten van de desbetreffende werkzaamheden of het geheel of gedeeltelijk niet (meer) uitvoeren van de opdracht tegen een restitutie van door Opdrachtgever reeds betaald honorarium naar evenredigheid.

 

Artikel 14 – Aansprakelijkheid

14.1        Opdrachtnemer is jegens Opdrachtgever uitsluitend aansprakelijk voor een tekortkoming in de uitvoering van de opdracht voorzover de tekortkoming bestaat in het niet in acht nemen van de zorgvuldigheid en deskundigheid waarop bij de uitvoering van de opdracht mag worden vertrouwd.

14.2        De aansprakelijkheid van Opdrachtnemer voor een tekortkoming in de uitvoering van de opdracht alsmede voor een onrechtmatige daad veroorzaakt door Opdrachtnemer is beperkt tot het bedrag dat Opdrachtgever naar de maatstaf van het bepaalde in artikel 10 als honorarium (exclusief omzetbelasting) aan Opdrachtnemer heeft betaald en/of nog verschuldigd is terzake van de werkzaamheden waarop de schadeveroorzakende gebeurtenis betrekking heeft of waarmede deze verband houdt, met een maximum van tweehonderdvijftigduizend euro (€ 250.000,-).

14.3        De in het voorgaande lid vermelde beperking van de aansprakelijkheid geldt niet voorzover de schade het gevolg is van opzet of grove schuld van Opdrachtnemer.

14.4        Opdrachtnemer is evenwel niet aansprakelijk voor:

-              bij Opdrachtgever of derden ontstane schade die het gevolg is van de verstrekking van onjuiste of onvolledige gegevens of informatie door Opdrachtgever aan Opdrachtnemer of anderszins het gevolg is van een handelen of nalaten van Opdrachtgever;

-               bij Opdrachtgever of derden ontstane schade die het gevolg is van een handelen of nalaten van hulppersonen, die door Opdrachtgever dan wel Opdrachtnemer ingeschakeld zijn (werknemers van Opdrachtnemer daaronder niet begrepen), ook indien deze werkzaam zijn bij een met Opdrachtnemer verbonden organisatie;

-               bij Opdrachtgever of derden ontstane bedrijfs-, indirecte- of gevolgschade.

14.5        Een vordering tot vergoeding van schade dient uiterlijk binnen twaalf maanden nadat Opdrachtgever de schade heeft ontdekt of redelijkerwijze had kunnen ontdekken bij Opdrachtnemer te zijn ingediend, bij gebreke waarvan het recht op schadevergoeding vervalt.

14.6        Opdrachtgever is gehouden Opdrachtnemer schadeloos te houden en te vrijwaren voor alle aanspraken van derden - daaronder mede begrepen aandeelhouders, bestuurders, commissarissen en personeel van Opdrachtgever alsmede gelieerde rechtspersonen en ondernemingen en anderen die bij de organisatie van Opdrachtgever betrokken zijn - die voortvloeien uit of verband houden met de werkzaamheden van Opdrachtnemer ten behoeve van Opdrachtgever, behoudens voorzover deze aanspraken het gevolg zijn van opzet of grove schuld van Opdrachtnemer.

 

Artikel 15-Vervaltermijn

Voorzover in deze algemene voorwaarden niet anders is bepaald, vervallen vorderingsrechten van Opdrachtgever uit welken hoofde ook jegens Opdrachtnemer in verband met het verrichten van werkzaamheden door Opdrachtnemer in ieder geval na één jaar na het moment waarop Opdrachtgever bekend werd of redelijkerwijs bekend kon zijn met het bestaan van deze rechten.

 

Artikel 16 - Rechts- en forumkeuze

16.1        Op alle overeenkomsten tussen Opdrachtgever en Opdrachtnemer is uitsluitend het Nederlands recht van toepassing.

16.2        Tenzij partijen uitdrukkelijk schriftelijk anders overeenkomen, worden alle geschillen die verband houden met Overeenkomsten tussen Opdrachtgever en Opdrachtnemer voorgelegd aan de bevoegde rechter in de plaats waar Opdrachtnemer gevestigd is.

GENERAL TERMS AND CONDITIONS

 

Article 1 - General

1.1           The terms below are defined as follows in these general conditions:

a) The Client: the party commissioning the assignment;

b) The Contractor: Vettax, having its registered office at Den Haag, Beemsterhof 7 (the Netherlands) being a  one-man business (sole proprietorship/sole trader);

c) Assignment and/or Agreement: the agreement for the assignment, in which the Contractor undertakes to perform various activities vis-à-vis the Client;

    1. All Assignments are exclusively accepted and performed by the Contractor, notwithstanding Articles 7:404 and 7:407, paragraph 2 of the Netherlands Civil code, regardless of whether the Client has expressly or tacitly granted the Assignment with the intention of having a certain person or persons perform the activities.
    2. All clauses in these general conditions have also been drawn up on behalf of all the parties who are working for the Contractor in the context of the performance of the Assignment.

 

Article 2 - Applicability

2.1           These general conditions apply to all Assignments and/or Agreements between the Client and the Contractor, and their respective legal successors. These general conditions also apply to all agreements arising on this basis and/or associated agreements, as well as all to offers and/or quotations provided by the Contractor.

2.2           The applicability of the Client’s General Conditions is expressly rejected by the Contractor.

2.3           Clauses deviating from these conditions are only applicable if and insofar the Contractor has confirmed these expressly to the Client in writing.

    1. If any clause, which forms a part of these general conditions or the agreement, is invalid or declared void, then the rest of this agreement shall continue to exist as far as possible, and the clause in question will immediately be replaced in consultation by the parties by a clause that corresponds as much as possible to the meaning of the original clause.

 

Article 3 – Establishment of the Agreement

    1. The Agreement wil be established at the time that the assignment is granted by the Client (verbally / in writing or per e-mail)
    2. If needed, a written assignment confirmation will be send. The Agreement shall be established at the time that the assignment confirmation signed by the Contractor and the Client is received by the Contractor. The assignment confirmation is based on the information provided to the Contractor by the Client at that time. The assignment confirmation is deemed to accurately and fully represent the Agreement.
    3. If the Assignment is not granted according to paragraph 3.2, or if the assignment confirmation has not yet been received, the Assignment is deemed to be established under the applicability of these general conditions at the time that the Contractor commences the performance the Assignment at the request of the Client.

 

Article 4 - Data and information

4.1           The Client is obligated to provide all the data and information requested by the Contractor, as well as the data and information that the Client can reasonably know that the Contractor needs for the correct performance of the Assignment, a) on time, b) in the form desired by the Contractor and c) in the way desired by the Contractor.

4.2           The Client guarantees the accuracy, completeness, reliability and legitimacy of the data and information provided to the Contractor by the Client or on the Client’s behalf, also if this data and information have been provided through a third party or originate from a third party, unless the nature of the Assignment provides otherwise.

4.3           The Client is obliged to immediately inform the Contractor with respect to facts or circumstances that could be important in connection with the performance of the Assignment.

4.4           The Contractor has the right to suspend the performance of the Assignment until the time that the Client has fulfilled the obligations referred to in the first, second and third paragraphs.

4.5           Extra costs, extra hours, and other damages that arise for the Contractor because the Client has not fulfilled the obligations referred to in the first, second and third paragraphs, are for the expense and risk of the Client.

4.6           At the first request of the Client, the Contractor shall return the original documents provided by the Client.

4.7           The Client is responsible for correct compliance with the applicable legislation and regulations with regard to the protection of personal data, including the personal data provided and made available to the Contractor concerning the Client’s staff members, clients or third parties, also if this data originates from third parties or is provided by third parties at the Client’s request. The Contractor cannot be sued in connection with the non-compliance or incorrect compliance by the Client.

 

Article 5 - Performance of the Assignment

5.1           The Contractor shall determine the way and by which person(s) the Assignment is performed, yet he/she shall take into account as far as possible the wishes expressed by the Client. If, in the performance of the Assignment, the Contractor wishes to engage third parties at the expense of the Client, he/she may only do this with the Client’s approval.

5.2           The Contractor shall perform the activities to the best of his/her ability and as a professional acting with due care; however, the Contractor also cannot guarantee that any desired result shall be achieved.

    1. The Assignment will be performed with due observance of the applicable professional and other regulations required by or in accordance with the law. The Client shall provide full cooperation at all times with the obligations that arise for the Contractor on this basis.
    2. The Client acknowledges, on the basis of the Act on Prevention of Money Laundering and Financing of Terrorism (Wet ter voorkoming van witwassen en financieren van terrorisme – Wwft) the Contractor:
  1. May be required to conduct an investigation into the identity of the Client and/or the customer;
  2. May be required to report certain transactions to the authorities appointed by the government for that purpose.
    1. Professional and other regulations include, in any case, the Professional Practice Regulations and the Special Code of Conduct of the Dutch Association of Tax Advisers (Reglement Beroepsuitoefening en de Bijzondere Gedragscode van De Nederlandse Orde van Belastingadvisers - NOB).
    2. The Contractor excludes any liability whatsoever for damages arising as a result of the Contractor’s compliance with legislation and professional and other regulations applicable to him/her.

5.7           For the Assignment, the Contractor shall maintain a work file containing copies of the relevant documents, which is the property of the Contractor.

    1. During the performance of the Assignment, the Client and the Contractor, at the request of one of the parties, shall be able communicate with each other by electronic mail. The Client and the Contractor are vis-à-vis each other not liable for any damages that arise from use of electronic mail. Both the Client and the Contractor shall do that which can reasonably be expected to prevent risks, such as spreading viruses and distortion.
    2. In the case of doubt concerning the content and/or sending of electronic mail, the data extracts from the Contractor’s computer systems shall prevail.

 

Article 6 –Terms

6.1           The terms during which activities must be completed are only considered final deadlines if this is agreed in writing.

6.2           If the Client owes an advance payment or if the Client must provide the necessary data and information for the performance of the Assignment, then the period during which the activities should be completed shall not commence before the payment in full has been received by Contractor, or before all of the data and information has been provided to the Contractor.

6.3           Unless it has been established that performance thereof remains impossible, the Agreement may not be terminated by the Client because the deadline is not met, before the Client, after the expiry of the agreed term, has given the Contractor notice of reasonable term to perform the Assignment (in full) as yet, and the Contractor still does not perform the Assignment at all or within the term provided.

 

Article 7 – Termination

    1. The Agreement is concluded for an indefinite period, unless, due to the content, nature or purport of the Assignment granted, it is clear that the Assignment has been concluded for a fixed term.

7.2           The Client and the Contractor may terminate the Agreement at any time (in the interim) with due observance of a reasonable period of notice, unless the termination or the termination in such a period is contrary to the principles of reasonableness and fairness. The termination must be communicated to the other party in writing.

7.3           The Agreement may be terminated by either the Contractor or the Client (in the interim) by means of registered post, without due observance of a period of notice, if the other party is not able to pay its debts or if an official receiver, administrator or liquidator is appointed; if the other party undergoes debt restructuring; if the other party ceases its activities for any other reason; if one party considers it reasonably plausible that one of the abovementioned circumstances will arise for the other party; or if a situation arises that justifies the immediate termination in the interest of the terminating party.

7.4           In all cases of interim or other termination, the Contractor retains the right to payment of the fee notes for all of the activities performed by the Contractor that point in time, which will be made available to the Client, subject to the provisional results of the activities performed until then.

7.5           If the Client decides on interim or other termination, the Contractor has a right to compensation for capacity utilisation loss, which has arisen for and which can be demonstrated by the Contractor, as well as for reasonable additional costs that were or will be incurred by the Contractor as a result of the early termination of the Agreement (such as costs relating to possible subcontracting), unless there are facts and circumstances that are the basis for the termination and which can be attributed to the Contractor.

7.6           If the Contractor decides on interim or other termination, the Client has a right to cooperation from the Contractor for the transfer of activities to third parties, unless there are facts and circumstances that are the basis for termination which can be attributed to the Client.

7.7           Insofar as the transfer of the activities for the Contractor is accompanied by extra costs, these will be charged to the Client.

7.8           Upon termination of the Agreement, each of the parties shall immediately return to the other party all goods, items and documents in their possession that belong to the other party.

 

Article 8 - Intellectual property rights

8.1           All rights concerning products of the mind that the Contractor develops or uses in the performance of the assignment, also including recommendations, working methods model or other contracts, systems, system designs and computer programs, belong to the Contractor, insofar as they do not already belong to third parties.

8.2           Except for with the express written advance permission of the Contractor, the Client is not permitted to reproduce, make public or exploit products of the mind or the recording thereof on data carriers, including together with or through the engagement of third parties, without prejudice to the provisions of Article 9.3.

 

Article 9 - Confidentiality

9.1           The Contractor is required to maintain confidentiality with respect to the data and information provided by or on behalf of the Client with respect to third parties that are not involved with the performance of the assignment. This obligation does not apply insofar the Contractor is subject to a statutory or professional duty that dictates disclosure of the information, including the obligations arising from the Act on Prevention of Money Laundering and Financing of Terrorism and other national or international regulations of a similar meaning, or insofar as the Client has released the Contractor from the duty of confidentiality.

9.2           The first paragraph does not prevent confidential consultation between colleagues within the Contractor’s organisation, insofar as the Contractor considers this necessary for the proper performance of the assignment or for proper fulfilment of a statutory or professional duty of disclosure.

9.3           If the Contractor represents him/herself in a disciplinary, civil, arbitration, administrative or criminal procedure, he Contractor has the right to use the data and information which he/she came to know in the performance of the assignment insofar as this data and information could be of importance in his/her reasonable opinion.

9.4           Except for with the express advance written permission of the Contractor, the Client is not permitted to disclose the content of the recommendations, opinions or other written or unwritten communications of the Contractor or to make them available in any other way to third parties, except for if this arises directly from the Agreement, if this takes place to obtain an expert opinion concerning the relevant activities of the Contractor, if the Client is subject to a statutory or professional duty of disclosure, or if the Client represents him/herself in a disciplinary, civil, arbitration, administrative or criminal procedure.

9.5           The Contractor has the right to state the name of the Client and the main points of the activities performed to commercial and other business associates of the Contractor to indicate the Client’s experience.

 

Article 10 – Personal data

10.1         In the context of an assignment granted by the Client to the Contractor or in the context of fulfilling statutory obligations that the Contractor is subject to, the Contractor may process the personal data concerning the Client and/or persons associated with or employed by/for the Client.

10.2         The Contractor may process personal data in connection with optimising the Contractor’s services to the Client and in connection with the ability to approach the Client and/or persons employed by/for the Client with information and services of the Contractor and third parties.

10.3         The processing of personal data by the Contractor in the context of the activities as referred to in the first and second paragraphs shall take place in accordance with the applicable legislation and regulations concerning the protection of personal data.

 

Article 11 - Fee

    1. The Client shall owe the Contractor a fee and an allowance for costs incurred in accordance with the Contractor’s normal rates, calculation methods and working methods.
    2. The Contractor has the right to request an advance payment from the Client.

11.3         If, after the establishment of the Agreement, but before the Assignment has been completed in full, factors affecting the rate such as wages and/or prices undergo a change, the Contractor has the right to adjust the rate agreed earlier in accordance with the situation.

11.4         The rates do not include VAT or other taxes imposed by the authorities.

 

Article 12 – Payment

12.1         Payment must take place without any deductions, discount or set-off, in Dutch currency, by means of deposit or transfer to the bank account indicated on the invoice, within 14 days after the invoice date. The day of payment is the day that the amount owed is credited to the Contractor’s bank account. Objections to the level of the invoice do not suspend the Client’s payment obligation.

12.2         If the Client has not paid within the term stated in the first paragraph, or within another term agreed by the parties, the Client is in default by operation of law and the Contractor has the right to charge statutory interest from that point in time.

    1. If the Client, acting in the course of a business or profession,  has not paid within the term stated in the first paragraph, the Client is obliged to pay all the out-of-court and court collection and other costs incurred by the Contractor, also insofar as these costs surpass any court order for costs, unless the Contractor, as the losing party, is ordered to pay the costs.
    2. If the Client is not acting in the course of a business or profession, the Client is obliged to pay extrajudicial collection costs amounting to the maximum amount in accordance with the Extrajudicial Collection Costs Decree (Besluit vergoeding van buitengerechtelijke incassokosten). These extrajudicial collection costs are payable by the Client if he fails to pay the amount due after receiving a demand for payment within fourteen days.
    3. In the case of a jointly granted Assignment, insofar as the Assignment is performed on behalf of the joint Clients, the Clients are jointly and severally liable for the payment of the invoice amount, the interest owed and the costs.

12.5         The Contractor reserves the right – also during the performance of an assignment, if the financial position or the payment behaviour of the Client gives reason for this in the Contractor’s opinion – to demand a full or partial advance payment from the Client and/or to demand that security be provided, and in the absence of this, the Contractor has the right to suspend the fulfilment of his/her obligations.

 

Article 13 - Complaints

13.1         At the risk of forfeiting all rights, a complaint relating to the activities performed or to the invoice amount must be communicated to the Contractor in writing within 30 days after the sending date of the documents or information over which the Client is lodging a complaint, or, if the Client demonstrates that he/she was not reasonably able to discover the shortcoming earlier, within 30 days after the discovery of the shortcoming.

13.2         A complaint does not suspend the payment obligation of the Client, except insofar as the Contractor has indicated to the Client that Contractor believes the complaint is justified.

13.3         In the case of a rightfully lodged complaint, the Contractor may choose between adjusting the fee invoiced, improving the activities in question free of charge, performing them again free of charge, or ceasing to perform the Assignment in whole or in part, and repaying a pro rata amount of the fee already paid by the Client.

 

Article 14 – Liability

    1. The Contractor is liable vis-à-vis the Client only for any shortcoming in the performance of the assignment insofar as a shortcoming has arisen due to the non-observance of due care and expertise, as a result of which the performance of the assignment cannot be trusted.
    2. The Contractor’s liability for any shortcoming in the performance of the assignment and for any wrongful act caused by the Contractor is limited to the amount that the Client, on the basis of the provision in Article 10, has paid as a fee (not including VAT) to the Contractor and/or still owes for the activities to which the loss-causing occurrence relates or is associated with, up to a maximum of Two hundred  and fifty thousand euros (€ 250,000).
    3. The limitation of the liability referred to in the previous paragraph does not apply insofar as the loss or damage is a result of wilful misconduct or gross negligence on the part of the Contractor.
    4. The Contractor is also not liable for the following:

- Any loss or damage arising for the Client or third parties that is the result of incorrect or incomplete data or information provided by the Client to the Contractor or which is otherwise the result of acts or omissions by the Client;

             -  Any loss or damage arising for the Client or third parties that is the result of acts or omissions by auxiliary persons who are engaged by the Client or the Contractor (not including employees of the Contractor), also if these persons are employed at an organisation affiliated with the Contractor;

                -  Loss of profits, indirect or consequential damage arising for the Client or third parties.

14.5         A claim for the reimbursement of loss or damage must be submitted the Contractor no later than 12 months after the Client has discovered or reasonably could have discovered the loss or damage. If this does not occur, the right to compensation for loss or damage shall be forfeited.

14.6         The Client is obligated to reimburse the Contractor and indemnify the Contractor against all claims from third parties – also including the shareholders, managing directors, supervising directors and staff of the Client, as well as affiliated legal entities and businesses and others involved with the Client’s organisation – which arise from or are connected with the activities of the Contractor for the Client, except insofar as these claims are the result of wilful misconduct or gross negligence on the part of the Contractor.

 

Article 15 – Expiry period

Insofar not determined otherwise in these general conditions, the Client’s right of action, which also applies vis-à-vis the Contractor in connection with the performance of the activities by the Contractor, shall be forfeited in any case after one year after the time which the Client learned or could have reasonably learned of the existence of these rights.

 

Article 16 – Choice of law and jurisdiction

16.1         All agreements between the Client and the Contractor are subject exclusively to the law of the Netherlands.

    1. Unless expressly agreed otherwise in writing by the parties, any disputes associated with Agreements between the Client and the Contractor shall be submitted to the competent court in the location where the Contractor is established.
    2. Contrary to the previous paragraph, the Client and the Contractor may select another method of dispute resolution.
